“定金”与“订金”虽是一字之差，但区别很大。“定金”是具有一定法律含义的法律用词，在合同的履行中如果交“定金”者违约，则“定金”不能复得。收“定金”者违约，则应双倍返还。而“订金”在法律上并未赋予其明确的法律含义，“订金”的作用及含义需当事人进行约定，未约定“订金”具有“定金”性质的，“订金”的作用相当于预付款。如果收“订金”方违约，只能是将“订金”原数额返还，如果交“订金”方违约，在没有给对方造成直接经济损失的情况下，“订金”应如数返还。
